Vendor Terms of Use
MINDLOUNGE-SHOP MARKETPLACE VENDOR REGISTRATION

These Terms of Service (“Terms”) govern the registration and participation of vendors (“Vendor,” “You,” “Your”) on Mindlounge-Shop (“Marketplace,” “We,” “Us,” “Our”). By registering as a vendor on the Marketplace, you agree to comply with these Terms of Service. If you do not agree to these terms, do not proceed with your registration.

- Registration and Account
To become a vendor on Mindlounge-Shop, you must complete the registration process, providing accurate and complete information as requested. You are responsible for maintaining the confidentiality of your account and password and for all activities that occur under your account.
You represent and warrant that you are at least 18 years of age, have the legal capacity to enter into a binding agreement, and are not prohibited from using the Marketplace based on any applicable laws.
The Marketplace reserves the right to refuse registration, terminate accounts, or suspend access at its discretion.
- Commission Fees
Mindlounge-Shop charges a fixed commission fee of 12% on all sales made through the Marketplace. This fee will be deducted from your sales proceeds upon completion of a transaction.
The commission fee applies to the total sale price, including product price, shipping, and any applicable taxes. The Marketplace reserves the right to adjust the commission fee, but any changes will be communicated to you in advance.
Payments will be processed according to the Marketplace’s payment schedule, and you will receive your earnings minus the applicable commission
3. Vendor Roles & Responsibilities
As a Vendor, you agree to the following roles and responsibilities:
3.1 Product Listings
You are responsible for creating and maintaining accurate, up-to-date listings for your products. This includes product descriptions, images, pricing, availability, and any other information relevant to your listings.
3.2 Pricing
You are responsible for setting and maintaining the prices for your products. You agree to ensure that your prices are competitive and in compliance with the Marketplace’s pricing policies.
3.3 Product Quality
You are responsible for ensuring that the products you list on the Marketplace meet all applicable quality, safety, and regulatory standards. You agree not to list counterfeit or prohibited products, and you will comply with all applicable laws and regulations regarding the sale of goods.
3.4 Order Fulfillment and Shipping
You must fulfill all orders promptly and ship products to customers within the agreed-upon timeframe. You must provide tracking information and communicate with customers regarding any delays or issues related to their orders.
3.5 Customer Service
You are responsible for providing excellent customer service, including addressing customer inquiries, processing shipments, and resolving disputes in a timely manner. All customer communications must be professional and courteous.
3.6 Compliance with Laws
You must comply with all applicable laws, including but not limited to consumer protection laws, intellectual property laws, and tax obligations related to your sales on the Marketplace.
3.7 Refunds and Returns
You agree to honor your return and refund policies as described in your product listings. In case of defective or damaged products, or if required by law, you must provide full refunds or exchanges.
- Marketplace’s Roles & Responsibilities
4.1 Platform Provision
The Marketplace will provide the platform for listing and selling your products, along with any necessary tools and services to manage orders and payments.
4.2 Payment Processing
The Marketplace will facilitate payment processing between customers and vendors. You will receive payments for completed transactions in accordance with the payment terms set by the Marketplace.
4.3 Marketing & Promotion
The Marketplace may promote your products through various marketing channels. However, you are also encouraged to promote your products independently to increase visibility and sales.
4.4 Dispute Resolution
The Marketplace may act as an intermediary in resolving disputes between vendors and customers. However, you are responsible for resolving any issues that arise, and the Marketplace will provide support if necessary.
5. Prohibited Activities
As a Vendor, you agree not to:
5.1 List prohibited, illegal, or harmful products, including counterfeit goods, hazardous materials, or products violating intellectual property rights.
5.2 Engage in fraudulent or deceptive activities, including misleading product descriptions, false advertising, or manipulation of reviews.
5.3 Use the Marketplace platform to conduct illegal activities or violate the rights of others.
5.4 Engage in any behavior that disrupts the functioning of the Marketplace or negatively impacts other vendors or customers.
We reserve the right to suspend or terminate your account and access to the Marketplace for any violation of these Terms.
6. Termination and Suspension
6.1 Termination by Vendor
You may terminate your account at any time by providing written notice to the Marketplace via email to macrolink.my@outlook.com. Upon termination, you must fulfill any outstanding orders and ensure that all financial obligations are met.
6.2 Termination by Marketplace
The Marketplace may suspend or terminate your account for any reason, including a violation of these Terms, fraudulent activity, or failure to meet performance standards. In the event of termination, the Marketplace will provide notice and details of the reason for the suspension or termination.
6.3 Effect of Termination
Upon termination of your account, you will no longer have access to the Marketplace platform, and any outstanding payments owed to you will be processed in accordance with the payment terms.
7. Indemnity and Liability
7.1 You agree to indemnify and hold the Marketplace, its affiliates, officers, agents, and employees harmless from any claims, damages, losses, or expenses arising out of your use of the Marketplace, your product listings, or your violation of these Terms.
7.2 The Marketplace’s liability is limited to the maximum extent permitted by law and does not extend to indirect, consequential, or punitive damages.
8. Change to Terms
8.1 The Marketplace reserves the right to modify or update these Terms at any time. Any changes will be posted on the Marketplace website, and the revised terms will become effective upon posting. You are responsible for reviewing the Terms periodically to stay informed of any changes.
8.2 Your continued use of the Marketplace after any changes to these Terms constitutes your acceptance of the revised Terms.
9. Governing Law
These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or related to these Terms or your use of the Marketplace will be resolved in the competent courts of Malaysia.
